Gymboree agrees to $1.8 billion buyout by Bain

NEW YORK (AP) — Children's clothing retailer Gymboree Corp. has agreed to be bought by asset management firm Bain Capital for $1.8 billion in what would be the sixth-largest private equity deal of the year.

Gymboree said Monday that the deal is for $65.40 per share, a 24 percent premium to Gymboree's Friday closing stock price of $52.95. The retailer, based in San Francisco, currently has about 27.3 million shares outstanding.

Gymboree stock surged 23 percent in afternoon trading on the news.

Filipino rebels turn to Malaysia to advance talks

MANILA, Philippines (AP) — Muslim rebels in the Philippines say they will wait for a Malaysian facilitator to try to narrow the gap between them and the Philippine government before resuming peace talks.

Moro Islamic Liberation Front negotiator Mohagher Iqbal said Tuesday that the positions of the two sides are so far apart that instead of meeting for another round of talks they want the facilitator from Malaysia to step in.

Iqbal said the government has proposed Sept. 13 for their next meeting in Kuala Lumpur and is waiting for the rebels to respond.

At their latest talks last month, the rebels turned down a government proposal to grant them autonomy without constitutional changes. The rebels say they want a substate that may require amendments to the charter.

Stevens vows to appeal convictions

A defiant Sen. Ted Stevens returned to his home state Wednesday a convicted felon, telling cheering supporters at an airport that bears his name that he's innocent and vowing he will be vindicated.

It was the 84-year-old lawmaker's first stop in Alaska since a federal court jury in Washington convicted him Monday of seven counts of lying on Senate disclosure forms to conceal hundreds of thousands of dollars in gifts from a wealthy businessman. He will be sentenced early next year.

Stevens, the longest serving Republican in Senate history, has brushed aside calls from GOP leaders to resign. He is seeking his seventh full term in next Tuesday's election, facing Democrat Mark Begich.

"I'm running for re-election because I love this land and its people," he told a standing-room only crowd at a hangar at Ted Stevens Anchorage International Airport.

Stevens was greeted by hundreds of cheering supporters who chanted, "We need Ted!" and "We love you, Ted!"

He told them: "I will appeal Monday's verdict, and we will win that appeal."

Stevens blamed his legal problems on his former friend Bill Allen, the founder and former chairman of VECO Corp., an oil field services company. Allen was the government's star witness.

"I naively trusted someone who I thought was a trusted friend, who was neither honest nor a friend," Stevens said.

Even though a convicted felon, Stevens remains popular in home state, where he was named "Alaskan of the Century."

The feisty rhetoric resonated with supporter Phil Isley, 53, an Anchorage airplane mechanic.

Isley said he appreciates Stevens for the money and jobs that he has brought to this state, and what occurred in the Washington courtroom should be a lesson for every American.

"If you take one of the most powerful men in America and he can't get a fair trial, how can the rest of us expect a fair trial?"

Earlier Wednesday, Sen. John Ensign, R-Nev., head of the National Republican Senatorial Committee, joined a growing list of Republicans urging Stevens to step down.

"Sen. Stevens should do the right thing and resign," he told MSNBC.

Among other Republicans calling for Stevens' resignation are GOP presidential candidate John McCain and his running mate, Alaska Gov. Sarah Palin, and Senate Minority Leader Mitch McConnell.

First Koreas Train Crossing Since 1950

SEOUL, South Korea - It was New Year's Eve in 1950. Koreans were fleeing the Chinese advance in the North when American soldiers halted their train at the South Korean border - shooting bullets into its steam tank to prevent it from ever running again.

That ill-fated train was the last to try to cross the Demilitarized Zone that divides the peninsula, which has remained in a state of conflict since the 1953 cease-fire that ended the Korean War. On Thursday, two trains are expected to cross the border again in a highly symbolic test-run seen as another step toward healing the wounds between the North and South.

"It's a historic day. I hope that from today the two Koreas will wash away the pain of tension and open the future of hope," Unification Minister Lee Jae-joung said as he arrived Thursday to lead the South Korean delegation on the ride into the North.

The train test will be the latest hole punched through the DMZ since the two Koreas embarked on an unprecedented reconciliation with their first summit in June 2000. Roads have also been restored since 2005, and thousands of South Koreans cross annually to visit Diamond Mountain as tourists or to work in the joint Korean industrial zone in Kaesong.

For South Korea, restoration of rail travel would help end its virtual island status, given that the only land route out is through North Korea. A rail link could reduce delivery costs for its export-driven economy.

Two rail lines have been restored across the border. On the western side, 17 miles of track have been laid between the South's Munsan and Kaesong in the North. The new eastern line links North Korea's Diamond Mountain with Jejin in the South across 16 miles of track.

About a dozen South Koreans whose relatives have allegedly been abducted by North Korea staged a protest outside the Munsan train station, demanding the Seoul government do more to bring their loved ones home.

"I wish the train would come back with my son if he is still alive," said Lee Kan-shim, 72, bursting into tears as police kept her from the site.

Seoul wants to connect to Russia's Trans-Siberian railroad. That will be difficult, but the opening of rail service on the two short routes just across the border could be possible "if the South gives a lot to the North in return," said Park June-young, an expert on North Korea at Ewha Women's University.

The tests are scheduled to begin around midday Thursday with 150 people aboard two five-car trains- one departing from the North and another from the South. Both trains will return later Thursday after spending a few hours on the opposite side.

The rail test has been beset by delays, mainly due to the objections of North Korea's military. But it now appears to finally be set after North Korean officers signed off on the plan last week.

The test comes with a price. The North agreed only after South Korea said last month that it would provide raw materials for making clothes, shoes and soap to North Korea - a project that Seoul refused to start last year when the rail tests were called off by the North. The South will get the rights to explore mineral resources in the North in return.

The goods North Korea received in return for the test run are worth $86.5 million, said Nam Sung-wook, a North Korea expert at Korea University. And for agreeing to begin regular service, he added, the North would make "much bigger demands."

North Korea's communist government is also extremely reluctant to allow many foreign influences into the country as it seeks to maintain its grasp on power.

"It's still very early to tell whether we can take (the rail test) as a sign of North Korea opening up to the outside world, but it's certainly a change," the unification minister told reporters Wednesday.

Analysts said the South Korean government appears eager to have the rail test go forward to claim a success in its policy of engagement with the North, which has been dogged by setbacks due to the international standoff over its nuclear weapons program.

Trains still crossed between the North and South even after the division of the peninsula at the end of World War II. It was not until after the North invaded, starting the Korean War in 1950, that U.S. forces destroyed the tracks at the border, as well as the North's rail and road connections to China, to try to prevent infiltration by hostile forces, Korea Railroad Museum director Sohn Gil-shin said.

Sohn expressed hopes the test would presage a new regional network linking Russia and China to the entire Korean peninsula.

Denney, Coughlin announce they will skate together

COLORADO SPRINGS, Colo. (AP) — Soap operas have nothing on the U.S. pairs teams.

Two weeks after Caitlin Yankowskas and John Coughlin, who won this year's U.S. title and finished sixth at the world championships, announced their split, Coughlin said Tuesday he is now skating with Caydee Denney. Denney won the 2010 U.S. title with Jeremy Barrett, but that partnership ended in February.

"We're excited to start this new chapter in our careers. The partnership felt right from the start, and we were immediately comfortable on the ice together," Denney and Coughlin said in a statement from U.S. Figure Skating. "While we are grateful for the success we have enjoyed in the past, we look forward to the opportunity that lies ahead."

Denney has moved from Florida to Colorado Springs, where they will train with Dalilah Sappenfield, who coached Coughlin and Yankowskas. Yankowskas has said she plans to continue skating and is looking for a new partner. Barrett has retired.

While dropping old partners and finding new ones is nothing unusual in figure skating, U.S. pairs have been particularly fickle lately and that instability has contributed to the Americans' struggles internationally. Including Yankowskas and Coughlin, none of the teams that won the last four U.S. titles is still together. In the last seven years, only one pairs team, Keauna McLaughlin and Rockne Brubaker, who have since split, managed to defend its U.S. title.

Yankowskas and Coughlin's sixth-place finish at worlds was the best by a U.S. pair in a non-Olympic year since 1997. The only world medal by a U.S. team in the last 12 years was Kyoko Ina and John Zimmerman's bronze in 2002 — against a watered-down, post-Olympic field.

No Americans have been on the Olympic podium since Jill Watson and Peter Oppegard won bronze in 1988.

"We realize we have a lot of work ahead of us, but we will lean on our experience as pairs skaters," Coughlin said. "We have high standards and will do whatever it takes to establish ourselves and set ourselves apart as a strong team."

Guide for the Auditors of Registered Electoral District Associations

Issued by the CICA Elections Task Force

Under amendments made to the Canada Elections Act, which were assented to on June 19, 2003, and effective as of January 1, 2004, federal electoral district associations are permitted to register with Elections Canada. Although registration is not mandatory, unregistered associations can only receive transfers from their registered party. They cannot accept contributions, provide goods or services, or transfer funds to election candidates, the registered party, or another registered association of that party; and they cannot accept funds from a candidate, leadership contestant, or nomination contestant.

Upon registration, a registered electoral district association has to appoint both a financial agent and an auditor. The application for registration must include their consent to so act. Chartered accountants who are considering accepting the appointment as financial agents should refer to the Registered Association Handbook issued by Elections Canada (www.elections.ca), which identifies the eligibility requirements for financial agents, as well as their responsibilities (including a checklist). With respect to the responsibilities of the auditor, the CICA's Elections Task Force has issued a Guide, which is posted on the CICA website at www.cica.ca/index.cfm/ci_id/25636/ la_id/1.htm.

Within five months of the end of a fiscal (calendar) year, the financial agent of the registered association must submit to the Chief Electoral Officer a Financial Transactions Return, which includes a declaration by the financial agent that the information contained in the Return is correct. An audit of the Return is only required if the registered association has, in a fiscal period, accepted contributions or incurred expenses of $5,000 or more in total. In such instances, the auditor is to report to the financial agent on the Financial Transactions Return, and shall, in accordance with generally accepted auditing standards, make any examination that will enable the auditor to give an opinion in the report as to whether it presents fairly the information contained in the financial records on which it is based. If such is not the case, or if it appears that proper accounting records have not been kept, the auditor should indicate that such is the case in the auditor's report.

The Financial Transactions Return comprises four parts: Part 1 comprises a declaration by the financial agent; Part 2 comprises several statements relating to contributions received, for which the legislative requirements are similar to those relating to contributions received by federal election candidates; Part 3 comprises a statement of transfers made by the association and a statement of unpaid claims; and Part 4 comprises the association's financial statements-a Statement of Assets and Liabilities, including any surplus or deficit, and a Statement of Revenues and Expenses, both of which must be prepared in accordance with generally accepted accounting principles (GAAP).

The Guide issued by the CICA's Elections Task Force sets out the eligibility requirements for the auditor; these are identical to those for the auditor of a candidate in a federal election. It also comments on a number of issues that the auditor is likely to face, including but not restricted to: auditor independence and objectivity; audit of opening balances (in the context that audits are only required for certain, and not all, fiscal periods); contributions received (the audit issues are similar to those for the audit of a federal election candidate); and the GAAP requirement for the association's financial statements. Samples of consent, engagement, and representation letters are also included in the Guide, along with an auditor's report that is considered appropriate for this type of engagement.

Gazprom's 4Q net profit slides 84 percent

Russia's state-owned natural gas company Gazprom said Wednesday that its full-year net profit rose by 13 percent to 743 billion rubles ($22.2 billion) in a year that saw gas and oil prices soar, then fall. But the recession appeared to hit its earnings hard at the end of the year.

The full-year figures, subtracting already published nine-month earnings, imply a net profit in the fourth quarter of only 37.5 billion rubles ($1.1 billion), a plunge of 84 percent from 232 billion rubles the previous year as the company battled with sliding demand for its exports and the fall in the ruble against other currencies.

The company admitted that 2009 would be a difficult year. Gas exports have dropped dramatically in the first quarter, with analysts estimating they fell by as much as 57 percent.

"The negative macroeconomic background characterized by the slump in global oil prices in the second half of 2008 and an ongoing decrease in demand for fuel in export and domestic markets will have a significant impact on the group's financial results in 2009," said Gazprom in a statement.

Yearly sales advanced to 3.8 trillion rubles ($114 billion) in 2008, a 45 percent increase on the previous year.

As of Dec. 31, net debt stood at 1.37 trillion rubles ($41 billion), making it the country's biggest debtor. It recently raised $2.25 billion in a eurobond issue, suggesting some initial easing on international debt markets. Gazprom said it planned to take tighter control over its debt situation, and rely on internal resources to make sure it is able to finance priority projects.

These include the massive Shtokman field in the Arctic and the Nord Stream pipeline, which will pipe Russian gas to Germany and eventually to Britain.

Gazprom insisted that it has no plans to delay key projects despite the drop in earnings and the difficult financing climate because of the crisis hitting the world's banks.

"In view of the expected medium-term revival of world economy and restored demand for hydrocarbons, this approach will give the group a competitive advantage over those oil and gas companies which will have to significantly delay their strategic projects," Gazprom said.

Gazprom is the world's largest producer of gas, but it has been hard hit by sliding demand for gas at the same time as competing liquefied natural gas carried by ship floods European markets. Gazprom relies on pipelines and long-term pricing agreements.

Analysts have said the gas giant must trim its ambitious spending plans if it is to ride out the global economic downturn.

Flatman joins Bell on sidelines

Bath's David Flatman has joined fellow England prop the unluckyDuncan Bell on the sidelines until well into the new year afterundergoing a second bout of shoulder surgery.

Flatman, who needed a shoulder operation last season, had to gounder the knife again to repair an 'anchor' inserted in his leftshoulder.

And Bell, who was expected to make his comeback from knee surgeryagainst Cardiff last Friday, has had surgery to repair a severedbicep tendon, delaying his return for at least another six weeks.

Bath head coach Steve Meehan said: "David Flatman will be out fora while longer because he had to have the anchor which surgeons putin his shoulder to repair damage done last season came away.

"He took a hefty hit in the match at Sale and then complainedthat there was crunching in his shoulder and a subsequent trip to aspecialist resulted in him having an operation to sort that out.

Lufthansa mulls bid for Austrian Airlines stake

Deutsche Lufthansa AG has made a nonbinding offer for a stake in rival Austrian Airlines, a Lufthansa spokesman said Monday.

The deadline for nonbinding offers was Sunday, Lufthansa spokesman Andreas Bartels said, but did not provide further financial or other details.

The Austrian government decided in early August to privatize the airline with the condition that 25 percent remains in Austrian hands. The government holds about 43 percent of the airline.

Austrian Airlines expects a loss of between euro70 million and euro90 million (US$103 million and US$132.3 million) in 2008.

Austrian Airlines has been an important partner of Lufthansa for years, with its main hub of Vienna. It has been part of the Star Alliance since 2000. Air France-KLM is among the other airlines to express an interest in the Austrian flag carrier.

Interested parties can look at Austrian's books, and will be able to make binding offers and hold sale negotiations later.

Shares of Lufthansa were up 0.2 percent at euro14.47 (US$21.27) in Frankfurt morning trading.

The euro traded at $1.4410, down from $1.4416 late Friday in New York.

The British pound was quoted at $2.0590, up from $2.0549.

Gold traded in London at $791.50 per troy ounce, up from $777.80 late Friday.

Gold opened at $788.05 an ounce in Hong Kong, up from Friday's close of $776.15.

In Zurich, gold traded at $790.80, up from $777.80.

Silver opened in London at $14.35, up from $14.17.

Georgia delays execution of inmate for 1 day

JACKSON, Georgia (AP) — Georgia prison officials have delayed the execution of a death row inmate who would have been the subject of the nation's first videotaped execution in nearly two decades.

The state corrections department said Wednesday the execution of Andrew Grant DeYoung would be rescheduled for Thursday at 7 p.m.

Attorney General Sam Olens would not say why the execution was rescheduled.

The Georgia Supreme Court earlier upheld a request by another death row inmate to videotape DeYoung's execution as part of his challenge to the state's execution procedure.

Experts say it would be the first known recording of an execution since 1992. In that California case, the state's method of execution using lethal gas was being challenged. The tape was later destroyed.

The real problem is too few designated routes for cyclists

I am sorry Julie Trollope seems to have had such a bad experiencewith cyclists, but what a shame she did not appear to haveacknowledged the real problem, which is the lack of dedicated cycleroutes for keen cyclists and commuters such as myself.

There is far more concern for the amount of car accidents whichoccur every day, and people such as Julie ought to consider this,plus the effect car pollution is having on the environment.

If there were only sufficient dedicated cycle lanes I am surecyclists would not feel the need to ride on the pavement and wouldfeel much safer themselves.

Is this after all not what the Government is trying to achieve?

The councils need to take a leaf out of Copenhagen's book andintroduce more cycle lanes.

With reference to Frenchay Hospital taking on A&E from Southmead,in my opinion, this is just a ploy to keep Frenchay open and jobssafe.

Southmead has been an A&E for many years now and managed allright. Now it seems it is being classed as sub-standard.

Kwan skates to gold medal

UNIONDALE, N.Y. One fall wasn't going to spoil Michelle Kwan'slast skate of the summer.

Kwan, looking forward to a vacation in Hawaii, took anunexpected detour Saturday night, falling to the ice on a triple-loopin the middle of her free program at the Goodwill Games.

She got right up like nothing had happened and skated away withthe gold medal.

"I felt great up to the loop and the fall shook me up," Kwansaid. "After the mistake, I knew what I had to do. In practice whenyou make a mistake, you always want to do the next thing great."

SAN FRANCISCO -- Rebuffing the Bush administration, a federal appeals court Friday refused to reconsider its ruling that reciting the Pledge of Allegiance in public schools is unconstitutional because of the words ``under God.''

The case could go next to the U.S. Supreme Court.

Attorney General John Ashcroft condemned the decision and said the Justice Department will ``spare no effort to preserve the rights of all our citizens to pledge allegiance to the American flag.''

Domestic adhesive and sealant makers can only dream about a replay of 1994, a year that is already shaping up to be a tough act to follow. The $5.6-billion industry, which usually grows faster than GDP, increased revenues by about 5%-6% in 1994, almost twice the historic rate. While all major end markets were vibrant, producers of specialty items such as pressure-sensitive adhesives had an exceptional year and report double-digit volume gains. Meanwhile, demand for solvent-based adhesives continues to decline, albeit modestly, replaced by hot melts and waterborne products.

An added sweetener for most manufacturers was their success in deferring or recovering from customers the bulk of last year's 7%-10% average increase in raw material prices, bolstering profit margins.

"Last year was a substantially above-average year for most. The industry prospered," buoyed by a strong economy, says Stephen Einhorn, president of Einhorn Associates (Milwaukee). ALBANY -- David Grandeau, Troy's former city manager, has taken a leave of absence from his position as executive director of the Temporary State Commission on Lobbying.

Grandeau, whose aggressive management style was legendary in Troy, has served since November 1995 as head of the agency that for 22 years has withered under a ``temporary'' title.

In April, the commission granted Grandeau a leave of up to one year from the $92,000-a-year post to pursue a private business venture with Sage Networks in Albany, commission spokeswoman Jeannine Clemente said. The leave began in May, she said.

Bush drops opposition to housing bill

President Bush dropped his opposition Wednesday to a broad housing package aimed at bolstering the sagging economy, despite his objections to including $3.9 billion for neighborhoods hit hardest by foreclosures. The House was expected to vote on the bill Wednesday, and it could become law as early as this week.

Under the bill, the government would help struggling homeowners get new, cheaper loans and would be allowed to offer troubled mortgage giants Fannie Mae and Freddie Mac a cash infusion.

The connection between the two farms is that Wright County Egg supplied chickens and feed to Hillandale Farms, though samples of salmonella were found in the environment at both locations. Hillandale recalled approximately 170 million eggs, whereas Wright County recalled 380 million. After as many as 1,500 cases of salmonella poisoning reported, neither of the companies was permitted to sell shell eggs, unless they were sent to breaker facilities where the eggs could be pasteurized to kill any present salmonella.

As reported on KTLA.com, Food and Drug Administration (FDA) inspectors attributed the salmonella to:

* Live rodents and mice in laying houses at both farms.

* Structural damage and holes in many locations at both farms, allowing wildlife access.

* Escaped chickens tracking manure through the houses.

* Employees not changing clothing properly when moving from one location to another and not sanitizing equipment properly.

* "Live flies too numerous to count" on egg belts, in the feed and on the eggs themselves at Wright County Egg.

* Dead and live maggots "too numerous to count" on the manure pit floor in one location at Wright County Egg.
